Terms of Use

Note: In the event of any discrepancy between the English and French versions of these terms, the French version shall prevail.
1. Acceptance of Terms
These terms govern the relationship between Systèmes Calibre Inc. and the client organization (the "Client") that engages the Services. Engaging the Services constitutes full acceptance of these terms.
The Client is responsible for informing its employees and participants of these terms and the Privacy Policy before their participation in workshops or use of the AI agent.
2. Nature of Services
Systèmes Calibre Inc. provides artificial intelligence enablement services for businesses (the "Services"), including:
- AI Workshops — In-person facilitated workshops to identify and demonstrate relevant AI use cases for your organization.
- AI Support Agent — An email-based agent that helps participants use AI effectively, answers questions about Law 25, and guides the setup of AI tools for the organization.
- Custom Automations — Design and development of automation solutions adapted to the specific needs of the organization.
The Services do not constitute legal advice in any way. Information provided regarding Law 25 is educational in nature and does not replace the advice of a qualified legal professional.
3. Protection of Personal Information (Law 25)
Systèmes Calibre Inc. acts as a service provider (sous-traitant) within the meaning of section 18.3 of Quebec's Act respecting the protection of personal information in the private sector. The processing of data submitted in the course of the Services is necessary for the execution of the mandate entrusted by the Client.

4. Limitation of Liability (Generative AI)
The Services use generative artificial intelligence engines. The Client acknowledges that:
- AI may produce errors, omissions or inaccuracies. The AI agent's recommendations are provided for informational purposes.
- Systèmes Calibre Inc. does not guarantee the accuracy of the AI agent's responses, document classifications, or information provided regarding Law 25.
- The Client remains solely responsible for decisions made on the basis of information provided by the Services.
- The total liability of Systèmes Calibre Inc. is strictly limited to the amount paid by the Client for the Services during the preceding three (3) months.
5. Intellectual Property
The Client retains all rights to the data, documents and content submitted in the course of the Services.
Systèmes Calibre Inc. retains absolute and exclusive ownership of its software architecture, AI agents, algorithms, system instructions (prompts) and technological know-how.
6. Pricing and Payment
Rates are agreed upon between Systèmes Calibre Inc. and the Client before the Services begin. All prices are in Canadian dollars (CAD), taxes extra.
Monthly subscriptions to the AI support program are billed monthly. The Client may cancel the subscription with 30 days' notice. Cancellation takes effect at the end of the current billing period. No refund is granted for a period already begun.
Upon cancellation, the Client's data is deleted within 90 days in accordance with our Privacy Policy.
7. Confidentiality of Exchanges
Systèmes Calibre Inc. undertakes to treat as confidential all business information shared by the Client in the course of the Services, including task descriptions, internal processes and working documents.
The Client acknowledges that the content of exchanges with the AI agent is transmitted to Anthropic (United States) for artificial intelligence processing, as described in our Privacy Policy. Anthropic does not retain this data beyond immediate processing.
8. Governing Law and Jurisdiction
These terms are governed by the laws of the Province of Quebec and applicable federal Canadian laws. Any dispute falls under the exclusive jurisdiction of the courts of the District of Montreal.
